Hypeling Creator Agreement

Effective date: November 1, 2026

This Creator Agreement ("Agreement") is between Teqqed BV, a company registered in the Netherlands under KvK number 86839195 ("Hypeling", "we", "us"), and you, the creator ("you"). It applies whenever you use Hypeling to send Proposals and complete Campaigns. It adds to the Hypeling Terms of Service and Privacy Policy, and controls if they conflict on creator matters. Capitalized terms not defined here have the meaning given in the Terms of Service.

1. Eligibility

You must be at least 18 years old, be a real person acting for yourself, not live in a country under comprehensive EU or US sanctions, and own or control the social media accounts you connect. You may hold only one creator account.

2. You are an independent contractor

2.1 You are an independent contractor, not an employee, partner or agent of Hypeling or of any Brand.

2.2 You decide which Campaigns to pitch, with no minimum amount of work. You decide how, where and when you create your Content, within the timeline in your accepted Proposal, using your own equipment.

2.3 You are not entitled to wages, benefits or expense reimbursement from Hypeling or any Brand.

2.4 You are responsible for your own taxes. Hypeling does not withhold taxes from your payments. Tax information, such as a Form W-9 or W-8BEN, may be collected through Stripe, and tax forms may be issued to you where the law requires.

2.5 You may work with other brands and platforms, including competitors of a Brand, unless you agree to exclusivity in a specific Campaign.

2.6 If you use helpers, such as an editor, you are responsible for paying them and for getting all rights from them that this Agreement requires.

3. Connecting your social media accounts

3.1 You can connect TikTok, Instagram (professional accounts) and YouTube through each platform's official tools. We use the data to verify your identity and reach, match you with Campaigns, show your statistics to Brands, and verify that your posts went live and how many views they got. We never sell it. Our Privacy Policy explains exactly what we access.

3.2 You can disconnect at any time. While a Campaign is active, disconnecting may stop us from verifying your post, which can delay your payment.

4. Proposals

4.1 A Proposal states your idea, deliverables, timeline and price in US dollars.

4.2 Each Campaign states upfront that footage may be edited, clipped, cut into shorter versions and reused, and which usage rights the Brand gets. Your price must cover all of this.

4.3 Hypeling takes no fee from you. The Brand pays Hypeling's fee and payment processing costs on top of your price. You receive 100% of your Proposal price.

4.4 A Proposal is an offer. You can withdraw it until it is accepted. Once accepted, it is binding.

4.5 Everything in your Proposal and profile, including your statistics and past work, must be accurate.

4.6 During the pilot, Hypeling may share your Proposal with the Brand by email or other channels. On the Managed Plan, Hypeling may accept your Proposal on the Brand's behalf.

5. When your Proposal is accepted

5.1 Acceptance creates a Campaign Agreement between you and the Brand, made up of the Campaign, your accepted Proposal, and the relevant parts of this Agreement and the Brand Terms. Hypeling is not a party to it, but you agree that Hypeling may instruct payment release and decide disputes as described here.

5.2 The Brand ships the product directly to you. You agree that we may share your name and shipping address with the Brand for this purpose. If the product does not arrive, or arrives damaged, tell us promptly and your timeline will be extended.

5.3 Read the product's label and instructions before use. If you have a reaction, stop using the product and tell us. You do not have to keep using it, and we will work with the Brand to adjust or cancel the Campaign. Product safety is the Brand's responsibility.

6. Making and delivering Content

6.1 Create. Make the Content as described in the Campaign and your accepted Proposal, within your timeline.

6.2 Send for review. Before posting, send the Content to the Brand for review through Hypeling, as a link the Brand can open, such as a Google Drive or Dropbox link. Hypeling does not check Content for you: make sure it follows Section 7 before you send it. You remain responsible for your Content. Keep the files available through that link, or send them to the Brand directly, so the Brand can use them as licensed.

6.3 Brand review. The Brand has 48 hours from when we make the Content available to approve it or reject it. If the Brand does nothing within 48 hours, the Content counts as approved. The Brand may reject Content only for a material mismatch with your accepted Proposal or the Campaign, or for a compliance problem, not for personal taste. If the Brand rejects for a valid reason, you may fix and resubmit within 3 days. Your price includes 1 round of revisions.

6.4 Post. After approval, post the Content on the account(s) named in your Proposal, by the agreed date, with the required disclosure. Submit the post link to Hypeling. Keep the post public for at least 30 days unless the Campaign says otherwise. Do not later edit the post in a way that removes the disclosure or changes the claims.

7. Compliance rules for every Campaign post

7.1 Disclose the paid relationship. Under the FTC Endorsement Guides, every Campaign post needs a clear disclosure. Use the platform's paid partnership or branded content tool and/or #ad. Put the disclosure where viewers will see it without clicking "more," not hidden among other hashtags. For video, also say it in the video where practical.

7.2 Be honest. Share only your honest opinions. You must actually have used the product. Do not describe results you did not have.

7.3 No fake reviews or testimonials. Under the FTC rule on fake reviews and testimonials, you must not write or post a review or testimonial that misrepresents who you are or your experience, and you must not pose as an unpaid customer.

7.4 No drug claims. Cosmetics may not be presented as treating, curing or preventing a disease or changing how the body works. Do not say a product "treats acne," "cures" a condition, "repairs your skin barrier," or anything similar. Do not make SPF or sun protection claims unless the Brand supplies approved wording, and then use that wording exactly. Make only claims the Brand approved. If unsure, ask us before posting.

7.5 Label AI-generated content. AI-generated or AI-altered material is allowed only if labeled as each platform requires. Never use AI to create a fake person giving a testimonial or showing results.

7.6 Use licensed music only. Use only music licensed for commercial use, such as a platform's commercial music library.

7.7 No fake engagement. Do not buy or use fake followers, views, likes, comments or shares, or use bots or other artificial means to boost your statistics.

7.8 Follow platform rules. Follow each platform's terms, community guidelines and branded content policies.

7.9 Get permission from others. Do not feature other identifiable people unless they have agreed in writing to the same uses the Brand receives.

If you break these rules, we may require you to edit or remove the post, delay payment release until it is fixed, or suspend your account.

8. Ownership and usage rights

8.1 You own your Content. You keep ownership of your Content and raw footage.

8.2 License to the Brand. Unless the Campaign says otherwise, once the Brand has paid for the Campaign, you grant the Brand a non-exclusive, worldwide license for 12 months, starting on the date the Content is approved, to:

  • use the Content organically on the Brand's own social media accounts, website and other channels it owns;
  • run the Content as paid ads, including TikTok Spark Ads and Meta partnership ads;
  • edit, cut, clip, reformat, add captions to, translate, and make shorter versions of the Content; and
  • use your name, handle and likeness as they appear in the Content, together with it.

8.3 Ad permissions. When the Campaign includes paid ads, you will provide the authorizations needed for the license period, such as a TikTok Spark Ads code or approval of a Meta partnership ad request.

8.4 Limits on edits. The Brand may not edit the Content to add claims you did not make, change its meaning, or suggest that you endorse other products.

8.5 When the license ends. The Brand must stop running paid ads with the Content and stop new uses.

8.6 Extra rights. A longer term, exclusivity or other uses need a separate agreement and extra payment to you.

8.7 Your portfolio. You may use the Content in your portfolio once it has been publicly posted.

8.8 Hypeling showcase. You grant Hypeling a non-exclusive, worldwide, royalty-free license to show the Content and your name and handle on its website, social channels and sales materials, but only with the Brand's permission. You can ask us to stop new uses at any time.

8.9 Your promises. You promise that you own or have all rights needed for the Content, that it does not infringe anyone's rights, and that everything in it, including music and people, is properly licensed or permitted.

9. Getting paid

9.1 Stripe account. To get paid, you must set up a Stripe account through Hypeling, accept Stripe's terms (including the Stripe Connected Account Agreement), and give Stripe the identity and tax information it requests.

9.2 Payment is collected upfront. The Brand pays upfront when your Proposal is accepted. Stripe collects and holds the payment, and Hypeling instructs Stripe when to release it. Hypeling is not a bank or a licensed escrow agent.

9.3 Release. We instruct release once your Content is approved, by the Brand or because the 48-hour review window passed without a response. If your Proposal includes posting on your own accounts, release also waits until you have submitted the post link and the Brand has had 48 hours to flag a problem with the live post, unless the Brand confirms it sooner. Nothing is released while a dispute is open (Section 10). Stripe then pays you out on its payout schedule.

9.4 What you receive. You receive 100% of your Proposal price. The Brand pays card, currency conversion and payout fees.

9.5 Non-delivery. If you do not deliver the Content by the deadline, plus any extension the Brand agreed to, the Brand is refunded and you are not paid. If you delivered part of the work, Hypeling decides what is fair.

9.6 Mistakes and fraud. If a payment is released because of fraud or a clear error, you agree to return it, and we may ask Stripe to reverse the transfer where Stripe allows it.

10. Disputes with a Brand

If a Brand rejects your Content and you disagree, or a Brand says you did not deliver, either of you can ask Hypeling to decide. We review the Campaign, your Proposal, the Content and your messages, and aim to decide within 5 business days. While a dispute is open, approval and release are paused. We may release payment, refund the Brand, split the payment, or ask for specific edits. Our decision is final for releasing or refunding payment, but it does not take away your legal rights against the Brand.

11. Cancellations

11.1 If you cannot deliver, tell us as soon as possible. A deadline extension needs the Brand's agreement. If the Campaign is canceled, the Brand is refunded.

11.2

12. Confidentiality

Briefs, unreleased products, launch dates, pricing and other non-public information you receive through Hypeling are confidential. Use them only for the Campaign, and do not post Content before the agreed date. This duty lasts for 2 years after the Campaign ends.

13. Suspension and termination

13.1 You can close your account at any time, but you must either complete Campaigns you have accepted or tell us so the Brand can be refunded.

13.2 We may suspend or close your account for fraud, fake engagement, repeated non-delivery, serious or repeated breaches of Section 7, or false information. While we investigate, we may delay payment release for affected Campaigns.

13.3 Licenses you granted for paid Campaigns continue after your account closes. Sections 8, 9.6, 10, 12, 14 and 15 also survive.

14. Liability and indemnity

14.1 Hypeling is not responsible for any Brand's products, including their safety, labeling and claims. Those are the Brand's responsibility.

14.2 To the extent the law allows, Hypeling's total liability to you is limited to USD 100, and Hypeling is not liable for indirect or consequential losses. This cap does not apply to our duty to instruct release of payments due to you under this Agreement, or to liability for fraud, intentional misconduct, gross negligence or anything else that cannot be limited by law.

14.3 You will defend and compensate Hypeling against third-party claims arising from your breach of Section 7 or Section 8.9, your use of fake engagement, or Content that infringes someone's rights.

15. General

15.1 We may update this Agreement. If a change is material, we will tell you at least 30 days before it takes effect. Changes do not apply to Campaigns accepted before that date.

15.2 This Agreement is governed by the laws of the Netherlands. Disputes will be resolved by the courts of the Northern Netherlands (Rechtbank Noord-Nederland).

15.3 This Agreement, the Terms of Service, the Privacy Policy and each Campaign Agreement are the entire agreement between you and Hypeling about your creator work. You may not transfer this Agreement without our consent. We may transfer it in a merger, acquisition or sale of assets.

15.4 You accept this Agreement electronically. Notices go to the email address on your account, or to us at tim@teqqed.com.
