Hypeling Terms of Service

Effective date: November 1, 2026

1. About these Terms

These Terms of Service ("Terms") govern your use of hypeling.com and the Hypeling platform (the "Platform"), together with the campaign services we provide during our pilot phase (together, the "Services"). The Services are operated by Teqqed BV, a company registered in the Netherlands under KvK number 86839195, located at Van Kleffenslaan 5, Unit 5, 8442 CW Heerenveen, the Netherlands ("Hypeling", "we", "us").

By creating an account, posting a Campaign, sending a Proposal or otherwise using the Services, you agree to these Terms. If you use the Services for a company, you confirm that you have authority to bind that company, and "you" includes the company.

Additional terms apply depending on your role:

  • Brands also agree to the Hypeling Brand Terms and any order form signed with Hypeling.
  • Creators also agree to the Hypeling Creator Agreement.

If those terms conflict with these Terms, those terms control for their subject matter. Our Privacy Policy explains how we handle personal data.

2. Key terms

  • Brand: a business that uses Hypeling to find creators for its products.
  • Creator: an individual who uses Hypeling to send Proposals to Brands.
  • Campaign: a brief posted by or for a Brand, stating the product, goals, deliverables, budget range and usage rights.
  • Proposal: a Creator's response to a Campaign, stating the idea, deliverables, timeline and the Creator's own price.
  • Content: videos, images, captions and other material a Creator makes for a Campaign.
  • Managed Plan: a paid plan on which Hypeling writes the brief and selects and accepts Proposals on a Brand's behalf.

3. What Hypeling does

Hypeling is a marketplace. Brands post Campaigns, Creators send Proposals, and Brands accept or decline them. On the Managed Plan, Hypeling writes the brief and selects and accepts Proposals for the Brand. Hypeling also manages the review process and instructs our payment provider when to release payments.

When a Proposal is accepted, an agreement for that Campaign forms between the Brand and the Creator (a "Campaign Agreement"). It is made up of the Campaign, the accepted Proposal, and the relevant parts of the Brand Terms and the Creator Agreement. Hypeling is not a party to the Campaign Agreement, but it performs the payment and dispute roles described in the Brand Terms and the Creator Agreement.

Hypeling does not employ Creators, does not make, sell or test any Brand's products, and does not guarantee that a Campaign will receive Proposals, that a Creator will deliver, or that Content will reach any number of views or sales.

4. Pilot phase

Hypeling currently operates partly as a hands-on service. During the pilot, we may set up Campaigns for Brands after a call, collect Proposals from Creators, and send them to the Brand by email or other channels instead of through the Platform. These Terms apply in the same way to Campaigns run like this. Some features may be unavailable, changed, or handled manually, and pilot fees may be waived as stated in the Brand's order.

5. Eligibility and accounts

5.1 You must be at least 18 years old to use the Services. Creators can be based anywhere, except in countries under comprehensive EU or US sanctions. Brands must be businesses.

5.2 You must give accurate information and keep it up to date. You may hold only one account per person, unless we agree otherwise.

5.3 Keep your login details secure. You are responsible for activity on your account. Tell us at tim@teqqed.com right away if you think your account has been misused.

5.4 We may verify your identity, age, business details and social media reach, including through Stripe and through social accounts you connect.

6. Payments

6.1 Payments run through Stripe, using Stripe Connect. When a Proposal is accepted, the Brand pays upfront: the Creator's Proposal price, payment processing costs (card, currency conversion and payout fees, passed through at cost), and Hypeling's platform fee. The platform fee is the fee stated in the Brand's order or on the Platform, currently 10% of the Proposal price. Pilot fees may be waived. Managed Plan fees are set out in the Brand Terms.

6.2 Creators pay no fees to Hypeling and receive 100% of their Proposal price.

6.3 Stripe collects the payment and holds it until it is released. Hypeling instructs Stripe when to release it, under the rules in the Brand Terms and the Creator Agreement. Hypeling is not a bank or a licensed escrow agent.

6.4 Your use of Stripe is also subject to Stripe's own terms, including the Stripe Connected Account Agreement for Creators.

7. Content and review

7.1 Creators send Content to the Brand through Hypeling, as a link, before posting it.

7.2 Hypeling does not check Content for legal compliance and gives no legal advice. Brands and Creators stay responsible for their own legal compliance.

7.3 Brands review Content within a 48-hour review window. If the Brand does not respond within 48 hours, the Content counts as approved. A Brand may reject Content only for a material mismatch with the accepted Proposal or the Campaign, or for a compliance problem. Hypeling decides disputes. The details are in the Brand Terms and the Creator Agreement.

8. Rules for everyone

You must not:

  • give false information, impersonate anyone, or create fake accounts;
  • buy, sell or use fake followers, views, likes, comments or other engagement, or use bots to inflate statistics;
  • post fake reviews or testimonials, or hide a paid relationship with a Brand;
  • make drug claims or product claims the Brand has not approved;
  • share Content that infringes anyone's rights, including music that is not licensed for commercial use;
  • share anything illegal, hateful, harassing, sexually explicit or deceptive;
  • take payment outside Hypeling for work arranged through Hypeling, or otherwise avoid our fees;
  • scrape, copy, reverse engineer, overload or probe the security of the Platform, or upload malware; or
  • use personal data you get through Hypeling for anything other than the Campaign it was shared for.

9. Connected accounts and third-party services

9.1 Creators connect TikTok, Instagram and YouTube accounts through each platform's official tools. You must follow each platform's terms, community guidelines and branded content policies. By connecting a YouTube account, you agree to the YouTube Terms of Service.

9.2 You can disconnect an account at any time. While a Campaign is active, we may need the connection to verify that your post went live and how many views it received.

9.3 Stripe, the social platforms and other third-party services are governed by their own terms. We are not responsible for them, including outages, account decisions or changes to their APIs.

10. Intellectual property

10.1 Ours. Hypeling owns the Platform, its software, design and brand. We give you a limited, non-exclusive, non-transferable and revocable right to use the Platform under these Terms.

10.2 Yours. You keep ownership of what you share through the Platform. You give Hypeling a worldwide, non-exclusive, royalty-free license to host, store, copy, process, display and transmit your Content and other materials, only as needed to provide and secure the Services. This license lasts while the material is on the Platform and for a reasonable period afterwards for backups and records.

10.3 Between Brands and Creators. Usage rights in Content are set by the Campaign, the Creator Agreement and the Brand Terms.

10.4 Showcasing. Hypeling may showcase Campaign Content on its website, social channels and sales materials only with the Brand's permission.

10.5 Feedback. If you send us ideas or feedback, we may use them without any obligation to you.

10.6 Infringement notices. If you believe something on the Services infringes your rights, email tim@teqqed.com with details of the work, where it appears, and your contact information.

11. Suspension and termination

11.1 You can close your account at any time from your account settings or by emailing tim@teqqed.com. Closing your account does not cancel Campaigns already accepted.

11.2 We may suspend or close your account, or remove content, if we reasonably believe that you:

  • committed or attempted fraud;
  • used fake followers, views or other engagement;
  • repeatedly failed to deliver accepted Campaigns or missed deadlines;
  • seriously or repeatedly broke the compliance rules in these Terms, the Creator Agreement or the Brand Terms; or
  • created legal risk for Hypeling or other users, or we are required to act by law, by Stripe or by a social platform.

11.3 Where we can, we will tell you why and give you a chance to respond. If we suspend an account during a Campaign, we handle refunds and payment release under the Brand Terms and the Creator Agreement.

11.4 Sections 10, 12, 13, 14, 15, 17 and 18 survive the end of these Terms.

12. Disclaimers

To the extent the law allows, the Services are provided "as is" and "as available." We do not promise that the Services will be uninterrupted or error-free. We are not responsible for what users do, for the quality or legality of Content or Proposals, or for any Brand's products.

13. Limitation of liability

13.1 To the extent the law allows, Hypeling is not liable for indirect or consequential losses, lost profits, lost revenue, loss of data or reputational harm.

13.2 Hypeling's total liability to you for all claims relating to the Services is limited to the greater of (a) the fees you paid to Hypeling in the 12 months before the event giving rise to the claim, not counting amounts passed through to Creators or for payment processing, and (b) USD 100.

13.3 Nothing in these Terms limits liability for fraud, intentional misconduct, gross negligence, or anything else that cannot be limited by law.

14. Indemnity

You will defend and compensate Hypeling against third-party claims, and the related losses and reasonable legal costs, arising from your Content, your products (if you are a Brand), your breach of these Terms, or your violation of any law or third-party right.

15. Disputes between users

Disputes about whether Content meets a Campaign, and whether payment should be released or refunded, are decided by Hypeling under the Brand Terms and the Creator Agreement. Other disputes between Brands and Creators are between them. We may try to help, but we have no duty to.

16. Changes

16.1 We may change the Services at any time. We may also update these Terms. If a change is material, we will tell you by email or in the Services at least 30 days before it takes effect. If you keep using the Services after that, the new Terms apply. If you do not agree, you can close your account.

16.2 Changes do not apply to Campaigns accepted before the change takes effect.

17. Governing law and disputes

These Terms are governed by the laws of the Netherlands. Disputes will be resolved by the courts of the Northern Netherlands (Rechtbank Noord-Nederland). Before starting a formal dispute, please contact us at tim@teqqed.com so we can try to resolve it informally within 30 days.

18. General

18.1 These Terms, together with the documents referred to in Section 1, are the entire agreement between you and Hypeling about the Services.

18.2 You may not transfer your rights under these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.

18.3 If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not waived it.

18.4 Neither party is responsible for delays caused by events beyond its reasonable control.

18.5 We may send notices to the email address on your account. You can send notices to tim@teqqed.com. These Terms are written in English, and the English version controls.
